    Dear Sir,

    I/We (hereinafter referred to as Intending Allottee(s)) request that the Intending Allottee(s) may be registered for

    provisional allotment of constructed space (hereinafter referred to as Retail Unit(s)) in the Mall known as GARDENS

    GALLERIA (hereinafter referred to as GardensGalleria), which is being constructed by International Recreation Parks Pvt.

    Ltd. (hereinafter referred to as the Developer) over a portion of the land out of the total land admeasuring 147.4835 acres

    being Plot No. A-2, Sector 38-A, Gautam Budh Nagar, Noida (U.P.), which land is leased to the Developer for a period of 90

    years w.e.f. 31.7.2002 by various Lease Deeds executed in favour of the Developer by Noida Industrial Development

    Authority (hereinafter referred to as the Land).

    The Intending Allottee(s) understands that a Hotel having approx. 4 floors will be constructed over the third floor of GardensGalleria by a separate entity with whom the Developer had entered into an Agreement and that said Hotel is not a part of

    GardensGalleria. Further theHotelmayget completed after handingover thepossession of thepremises.

    TheDeveloper has drawn the General Terms and Conditions pursuant towhich the allotments in the GardensGalleria will be

    made to the Intending Allottees. The Intending Allottee(s) have read and understood in detail the General Terms and

    Conditions of the provisional allotment of the Retail Unit(s) at GardensGalleria and agree to abide by the same in toto.The

    IntendingAllottee(s) agree to sign and execute thedefinitive agreement(s)andsuch other documents in relation to provisional

    allotment and the sub-lease transaction with the Developer on their standard format(s) as explained/shown to me/us by the

    Developer and understood by me/us. Further, the Intending Allottee(s) have clearly accepted and understood that this

    application doesnot constitute an agreement to sell/agreement to sub-lease and/or doesnot confer any right in respect of the

    Retail Unit(s) and the Intending Allottee(s) do not become entitled to the provisional and/or final allotment of the Retail Unit(s)notwithstanding the fact that the Developer may have issued a receipt in acknowledgement of the money tendered with this

    application. It is only after the IntendingAllottee(s) sign and execute the definitive agreement(s) and such other documents in

    relation to provisional allotment and the sub-lease transactionswith theDeveloper on theDeveloper's standard format(s) and

    agreeing to abide by the terms and conditions laid down therein that the allotment shall become final and binding upon the

    Developer.

    The IntendingAllottee(s) have read and understood the terms of the Lease Deeds executed in favour of the Developer by the

    Noida Industrial Development Authority (hereinafter referred to as NOIDA Authority) as well as the approvals accorded by

    the Authorities for construction of the Gardens Galleria. The Intending Allottees undertake to abide by all the terms of the

    Lease Deeds executed in the favour of the Developer by the NOIDA Authority and also any other terms and conditions

    imposed or that would be imposed by the NOIDA or any other Governmental Authority from time to time in respect of theGardens Galleria at any later point of time and such terms and conditions shall be deemed to be an integral and inseparable

    partof theGeneralTerms and Conditions.

    The IntendingAllottee(s) shall also comply with and abide by the various sanctions and approvals granted by the Competent

    Authority(ies) for the State of U.P. in relation to the Land and the Gardens Galleria, which shall include any Circulars,

    Notificationsetc.by theNOIDAand theGovernmentalAuthorities.

    The IntendingAllottee(s) understand that theexpression 'allotment' wherever used in this letter and/or theGeneral Terms and

    Conditions for registrationof provisional allotment, asmentioned herein, shall alwaysmean provisional allotment of theRetail

    GENERAL TERMS AND CONDITIONS FOR REGISTRATION OF PROVISIONAL ALLOTMENT OF RETAIL UNIT(S)

    AT GARDENS GALLERIA, AT PLOT NO. A-2, SECTOR 38-A, GAUTAM BUDH NAGAR, NOIDA (U.P.).

    1. The Intending Allottee(s) has/have applied to the Developer for the registration of allotment of Retail Unit(s) in the

    Mall-cum-Hotel Complex by the name and style of GARDENS GALLERIA which is being constructed by the

    Developer over a portion of the land out of the total land admeasuring 147.4835 acres being i.e. Plot No. A-2, Sector

    38-A, Gautam Budh Nagar, Noida (U.P.) with full knowledge of the land and the constructions raised therein and all

    applicable laws, notifications, rules and regulations applicable thereto.

    2. The IntendingAllottee(s) has/have fully satisfied themselves with respect to the title of theDeveloper in the said Land /

    theGardensGalleria which is being constructed therein.

    3. The allotment of the Retail Unit(s) is provisional and the Developer shall have the right to effect suitable and

    necessary alteration(s) in the initial layout plan, as and when necessary, whichmay involve all or any of the following

    changes, namely, position and location of the Retail Unit(s), number(s) of the Retail Unit(s) and dimension and/or

    area of the Retail Unit(s). In the event of any increase/ decrease in area of the Retail Unit(s), the price of such Retail

    Unit(s) so revised as a consequence of such change in area shall be payable by the IntendingAllottee(s) at such rate

    as prevalent at the time of registration for allotment ofRetail Unit(s).Such differential in priceof the Retail Unit(s) shall

    be adjusted/demanded at the time of final notice of possession for the Retail Unit(s). Such aforesaid change in

    respect of the Retail Unit(s), if any, may be duly recorded in a supplementary agreement to be executed between the

    Developer and the Intending Allottee(s). The built-up area shall not be less than fifty percent of the super area of theRetail Unit(s) where built-up area of the premises shallmean and include the covered area of the premises, including

    area under periphery walls, area under the columns and walls, balconies, lofts etc. and half of the area of walls

    commonwith adjoiningRetail Unit(s). Super area shall include built-up area of the premisesand proportionate share

    of common areas in the said Building which shall include area used for lobbies, atriums, refuge areas, common

    toilets, all lifts, electrical, plumbing and fire shafts, services ledges on all floors, common corridors, passages,

    staircases, escalators, mumties, circulation area, AHU'S and pantries, service areas including but not limited to

    machine room, DG room, transformer room, electrical room, chiller room, pump room, overhead water tanks,

    maintenanceoffices/stores etc., architectural features, if provided and security/fire control rooms.

    4. That the Intending Allottee(s) has/have further agreed that all rights of ownership/title with respect to the Land,

    facilities and amenities other than those underneath the tower/building in which the Retail Unit(s) is located and the

    common areas shall vest solely with the Developer which shall have the sole and absolute right and authority to deal

    with the same inanymanner with respect tosuch Land, facilities and/or amenities.

    5. Subject to the rules framed by theDeveloper andon such payment that theDevelopermay fix, which shall be binding

    on the IntendingAllottee(s), the IntendingAllottee(s) is/are entitled to get the name of their nominees substituted with

    the prior approval of the Developer, who may permit the same on such conditions as it may deem fit and proper and

    including on such conditions which are in accordancewith directives, if any, laid downby the government for the State

    of U.P. or any Competent Authority(ies) in this regard. With the prior approval of the Developer, the Intending

    Allottee(s) may transfer this provisional allotment subject to payment of the transfer charges. The Intending

    Allottee(s) agree that in all transfers of this provisionalallotment, the Developershall chargea sum of Rs.250/- per sq.

    ft. alongwith service tax levied on such transfer charges.

    6. The IntendingAllottee(s) agree that it/they shall pay theprice of theRetail Unit(s) and such other charges on the basis

    of the superarea asdefined toherein above andwhich inter alia includes, the built-up area of the Retail Unit(s) asalso

    the pro-ratashareof the common areasof space in the complex.

    7. The Intending Allottee(s) shall pay the entire Consideration of the Retail Unit(s) as per the Payment Plan annexed

    hereto. The Consideration is exclusive of any service tax or any otherGovernment tax, levy or cess as leviableby the

    Competent Authority on the construction/ sub-lease of the Retail Unit(s) in Garden Galleria. Service tax is levied on

    the construction/sub-lease of Retail Unit(s) in the complex and the Intending Allottee(s) understands, agrees and

    undertakes that the same shall also be paid by it to the Developer. The Developer shall invoice the Intending

    Allottee(s) with respect to the service tax from time to time and the IntendingAllottee(s) undertake to pay the same to

    the Developer within the due date specified in the said invoice. The Developer undertakes that such service tax

    received from the Intending Allottee(s) shall be deposited with the Competent Authority. It is further agreed by the

    IntendingAllottee(s) that if any other tax or cess is levied by the CompetentAuthority on construction/sub-lease other

    than the Service tax, the IntendingAllottee(s) undertakes to pay the same to the Developer. If there is any shortfall or

    delay in the payment of service tax or any other tax, levy or cess is levied on the construction/sub-lease of Retail

    Unit(s), the IntendingAllottee(s) shall also pay interest, penalty or any other sum levied by the CompetentAuthority to

    theDeveloper.

    8. The timely payment of installments as per the annexed Payment Plan is the essence of this transaction. It shall be

    incumbent on the Intending Allottee(s) to comply with the terms and conditions of allotment. In case the payment ofthe installment(s) is delayed, the Intending Allottee(s) shall be liable to pay compound interest at the rate of twenty

    one percent (21%) per annum to be calculated from the due dateof amount payableas per the PaymentPlan till such

    installment along with interest due thereon is paid in full to the Developer. In case, at any stage, the Intending

    Allottee(s) seek(s) cancellationof allotment and/or refund of the amount deposited by him, the Developer shall forfeit

    the Registration Amount i.e. the Earnest Money and the balance Consideration, if any, shall be refunded to the

    Intending Allottee(s) without any interest thereon after adjustment of interest accrued on the delayed payment(s), if

    any, and/or anyother chargesdue from the Intending Allottee(s). However, if the Intending Allottee(s) fails to

    pay the installments within three (3) months from the due date of amount payable as per the Payment Plan, the

    Developer shall forfeit the entire amount of Earnest Money deposited by him/her and the allotment shall stand

    cancelled and balance Consideration, if any, shall be refunded to the Intending Allottee(s) without any interest

    thereon after adjustment of interest accrued on the delayed payment(s), if any, and/or any other charges due from the

    Intending Allottee(s). On occurrence of aforesaid events the Intending Allottee(s) shall be left with no right, lien orclaim on the said Retail Unit(s). As a matter of abundant caution it is clarified that for the purposes of this clause, ten

    percent (10%)) of the total Consideration shall constitute theEarnestMoney.

    9. All taxes, levies, charges, cess, assessments leviable by whatever name,whether levied nowor in future on theLand

    and/or theBuilding/RetailUnit(s) (as thecasemaybe)shall beborne by the IntendingAllottee(s).

    10. The Intending Allottees are not entitled to any car parking slot(s) either on the surface or in the basement of

    GardenGalleria.

    11. The IntendingAllottee(s) agrees that the maintenance of the common services/facilities/areas pertaining to the said

    complex shall be carried out by the Developer or its nominated agency. The Intending Allottee(s) shall pay common

    area charges and other infrastructure charges (as determined by the Developer and/or the nominated maintenanceagency from time to time) alongwith service tax or any other levy/charges levied by the CompetentAuthority on such

    Common Area Maintenance charges and infrastructure charges towards various common services/facilities

    provided by the nominated maintenance agency and availed by the Intending Allottee(s) in relation to such Retail

    Unit(s) from the dateof offer of possessionby the developer.Anamount equal tomonthly common areamaintenance

    charges plus service tax or any other levy/charges thereon shall be payable in advanceby the IntendingAllottee(s) at

    such rate as determined by the Developer or its nominated maintenance agency from the date of offer of possession

    by the developer. For this purpose the Intending Allottee(s) simultaneously execute a separate Common Area

    Maintenance Agreement. The execution of the Common Area Maintenance Agreement is a mandatory condition of

    the allotment of the Retail Unit(s). It is agreed by the Intending Allottee(s) that they shall be liable to pay advance

    monthly common area maintenance charges plus service tax from the date of offer of possession by the developer

    even if for any reason they have not executed the Common Area Maintenance Agreement. However, the

    maintenanceof thearea within theRetail Unit(s) shall be thesole responsibility of the IntendingAllottee(s).

    12. In addition to the common area maintenance charges payable in advance, the IntendingAllottee(s) shall also pay to

    theDeveloper as Interest Free MaintenanceDeposit Rs.______________________________________/- (Rupees

    ____________________________________________________________________________ only) calculated

    at the rate of Rs.100/- (Rupees One hundred only) per square feet of the super area of theRetail Unit(s) on or prior to

    the dateofoffer ofpossession intimated in the finalnotice ofpossession issued bytheDeveloper.

    13. The IntendingAllottee(s) shall use the Retail Unit(s) solely for the exclusive purpose of selling / Marketing of same or

    similar products and services which shall be specified by the Developer in floor wise zoning and the Intending

    Allottee(s) shall ensure that the Retail Unit(s) allotted to them shall only sell / market same or similar products and

    services and the Intending Allottee(s) agree and undertake that they shall not without prior written permission of the

    Developer sell any other goods/merchandise and render any other services other than those specified by the

    Developer forwhich theprovisional allotment ismade.

    14. The Developer would assist in execution and registration of the Sub-lease Agreement with respect to the Retail

    Unit(s) in favour of the IntendingAllottee(s) only upon the final completion of the construction of the Retail space/unit

    and upon receipt of full Consideration asper the PaymentPlan and other charges payableby the IntendingAllottee(s)

    along with the applicable stamp duty and registration charges in relation thereto from the Intending Allottee(s). It is

    agreed by the Intending Allottee(s) that the Developer shall not in any manner be held liable or responsible for any

    delay ingetting the Sub-leaseAgreement executed and registered inhis/their favour if any such delay is on accountof

    any act ordeed on the part of the IntendingAllottee orNoida orGovernmentalAuthorities.

    15. That the IntendingAllottee(s) may at its option raise finance(s) or loan for purchase of theRetail Unit(s). However, the

    responsibility of getting such finances or loan sanctioned and disbursed as per the Payment Plan shall rest

    exclusively on the Intending Allottee(s). In the event, the Intending Allottee(s)' finance or loan not being disbursed,

    sanctioned or delayed, the Intending Allottee(s) shall ensure that the payment to the Developer as per the Payment

    Plan shall notbedelayedby the IntendingAllottee(s).

    16. The allotment of theRetail Unit(s) is at the sole discretion of theDeveloper and theDeveloper has the right to reject or

    accept any application without assigning any reason thereto. In the event the Developer decides to reject any

    application for allotment of the Retail Unit(s), the Developer shall not be obliged to give any reason for such rejection

    and any such decision of the Developer rejecting such application for allotment of the Retail Unit(s) shall be final and

    binding. On such rejection of application by the Developer, the Developer would refund the Earnest Money received

    without any interest to the IntendingAllottee(s).

    17. The IntendingAllottee(s) undertakes to abide by the laws, rules and regulations applicable to the said Retail Unit(s). If

    theapplicable laws demandsubmission of anydeclaration relating to the super area/commonarea/carpet area of the

    Premises to the competent authority, then the Developer would have sole right to file such declaration without any

    objection from theAllottee and also submit necessary details to theCompetentAuthority.

    18. If there is any breach of the terms and conditions contained herein by the Intending Allottee(s) or if the Intending

    Allottee(s) is unable to perform his/her/their part in relation to the sub-lease transaction, the Registration Amount

    being the Earnest Money paid by the Intending Allottee(s) to the Developer shall be forfeited and balance amount, if

    any, shall be refunded without interest to the IntendingAllottee(s).

    19. Upon payment of requisite amount as indicated in the Payment Plan, and other charges as leviable the Developer

    shall provide prior written notice to the Intending Allottee(s) about the date of handing over the possession of the

    Retail Unit(s) and where such notice is provided the Intending Allottee(s) shall either by themselves or through their

    authorized representatives/ duly constituted attorney take possession of the said Retail Unit(s). In the event the

    Intending Allottee(s) fails to accept and/or take possession of the Retail Unit(s) on the date specifically indicated in

    such notice for possession, the possession of the Retail Unit(s) shall be deemed to have been taken by the Intending

    Allottee(s) on the date so specified therein.The IntendingAllottee(s) agrees that after dispatch of the written notice for

    possession of the Retail Unit(s), if the Intending Allottee(s) fails to or avoids taking possession of the Retail Unit(s)

    allotted tohim/them, then the IntendingAllottee(s)shall be liable topay holding charges at the rate ofRs.25/- (Rupees

    Twenty five only) per square feet per month for the Retail Unit(s) from the Date of offer of Possession intimated in the

    final notice of possession issued by the Developer till the date the Intending Allottee(s) take the actual physical

    possession of the Retail Unit(s). The said holding charges payable by the IntendingAllottee(s) shall be in addition to

    his/her/their respective share of the government or municipal charges, taxes, levies, cess, common area

    maintenance charges or infrastructure or any other administrative charges (as determined by the Developer or the

    nominated maintenance agency under the Common Area Maintenance Agreement) and payable till the Intending

    Allottee(s) has taken actual physical possessionof theRetail Unit(s).

    20. If the IntendingAllottee(s) is residing outside India, the IntendingAllottee(s) shall obtain all requisite approvals from

    the concerned authorities for entering into this transaction. The Developer shall not be responsible for any

    wrong/false/inadequate informationprovided by the IntendingAllottee(s).

    21. The IntendingAllottee(s) shall have their complete and correct address(es) registered with the Developer at the time

    of registration and it shall be their responsibility to inform the Developer by registered post acknowledgement due

    about all subsequent changes, if any, in their address(es), failing which all demand notices and communications

    posted at the first registered address(es) shall be deemed to have been received by him/her/them at the time when

    those should ordinarily reach at such address(es) and the IntendingAllottee(s) shall be responsible for any default in

    paymentandother consequences that might occur therefrom.

    22. All or any disputes arising out or touching upon or in relation to the terms of this application including the interpretation

    and validity of the terms thereof shall be referred to a person appointed by the Developer as a SoleArbitrator and the

    Arbitrator's decision shall be final and binding upon the parties. The provisions of theArbitration and ConciliationAct,

    1996 as amended, restated and replaced would govern such arbitration proceedings. The Intending Allottee(s)hereby confirms that it / they shall have no objection to this appointment even if the person so appointed and the

    IntendingAllottee(s) shall have no doubts as to the independence or impartiality of the said SoleArbitrator. The venue

    of the arbitrationshall be Noida orNew Delhiatthe discretion of the SoleArbitrator.

    23. The courts in Noida and theHigh Court at Allahabad shall have jurisdiction in all matters arising out of or concerning

    this transaction.

    24. The general terms and conditions as mentioned above are not exhaustive for the purpose of allotment of the Retail

    Unit(s) to the intending Allottee(s) and may further be supplemented and/or amended by the terms and conditions of

    allotment as mentioned in the Allotment Letter and other definitive agreements and thereafter in the Sub-lease

    Agreement.

    The IntendingAllottee(s)/ the applicant(s) herein do hereby declare that the above terms and conditions have been read and

    understood by them and the same are acceptable to them. The Intending Allottee(s)/ the applicant(s) herein unequivocally
